Terms of Service

These Terms of Service ("Terms") govern your use of Auditto, a product of Medtime Health Care Pvt Ltd (CIN: U24200KA2021PTC151358), accessible at auditto.in and through the Auditto Shopify app. By using Auditto, you agree to these Terms.

1. Service Description

Auditto is an automated finance reconciliation platform for e-commerce sellers in India. The service includes:

  • Multi-channel order and settlement syncing (Shopify, Amazon, Flipkart, Razorpay, and others)
  • Automated 3-pass reconciliation (settlement-to-bank, order-to-settlement, GST gap detection)
  • Receipt OCR via WhatsApp for expense tracking
  • GST compliance reporting and GSTR-2B matching
  • Tally-compatible XML export
  • Two-way sync with Zoho Books
  • WhatsApp-based daily reconciliation summaries and alerts

2. Eligibility

Auditto is designed for registered businesses operating in India. By using the service, you represent that:

  • You are at least 18 years of age.
  • You have the authority to enter into these Terms on behalf of your business.
  • The business information you provide (including GSTIN and PAN) is accurate and current.

3. Accounts

You are responsible for maintaining the security of your account credentials and connected channel access tokens. You must notify us immediately at support@auditto.in if you suspect unauthorised access.

Each Auditto account corresponds to one business entity (one GSTIN). Multiple stores or channels can be connected to a single account.

4. Free Trial

New users receive a 15-day free trial with access to all features on the Starter plan. No payment information is required to start the trial. After the trial period, you must subscribe to a paid plan to continue using the service. We will notify you via email and WhatsApp before your trial expires.

5. Subscriptions and Billing

  • Subscriptions are available on monthly or annual billing cycles.
  • All prices are listed in Indian Rupees (INR) and are exclusive of applicable GST (18%).
  • Payments are processed through Shopify Billing (for Shopify app users) or Razorpay (for direct signups).
  • You may upgrade, downgrade, or cancel your plan at any time. Downgrades take effect at the end of the current billing cycle.
  • We do not offer refunds for partial billing periods, except where required by law.

6. Current Plans

  • Starter (₹499/month): Up to 2 channels, 500 orders/month, weekly WhatsApp summary.
  • Growth (₹999/month): Up to 4 channels, 2,000 orders/month, daily WhatsApp summary, Tally export.
  • Pro (₹2,499/month): Unlimited channels and orders, real-time alerts, Zoho sync, priority support.
  • CA Partner (₹4,999/month): Manage up to 10 client accounts with a unified dashboard.

Prices may change with 30 days' notice. Existing subscribers will be notified before any price change applies to their account.

7. Data Ownership

Your data is yours. You retain full ownership of all financial data, business information, and documents processed through Auditto. We act as a data processor on your behalf.

We do not claim any intellectual property rights over your data. You may export your data at any time using the Tally export feature or by requesting a full JSON export via support@auditto.in.

8. Acceptable Use

You agree not to:

  • Use Auditto for any illegal purpose or to process fraudulent transactions.
  • Attempt to access other merchants' data or circumvent our security measures.
  • Reverse-engineer, decompile, or disassemble any part of the Auditto software.
  • Use the API or webhooks to send excessive requests that degrade service for other users.
  • Share your account credentials with unauthorised third parties.

We reserve the right to suspend or terminate accounts that violate these terms, with notice where practical.

9. Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by third-party services (Shopify, Amazon, Razorpay, etc.) or force majeure events.

10. Limitation of Liability

Auditto provides automated reconciliation assistance and is not a substitute for professional accounting, tax, or legal advice.

  • We are not liable for financial decisions made based on Auditto's reports or recommendations.
  • We are not responsible for errors in data received from third-party APIs (Shopify, Amazon, Razorpay, etc.).
  • Our total liability to you for any claim arising from the service shall not exceed the fees you paid in the 12 months preceding the claim.
  • We are not liable for indirect, consequential, or incidental damages including lost profits, lost data, or business interruption.

11. Indemnification

You agree to indemnify and hold harmless Medtime Health Care Pvt Ltd, its directors, employees, and agents from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any applicable law.

12. Termination

  • By you: You may cancel your subscription or uninstall the Shopify app at any time. Your data will be retained for 90 days after cancellation, then permanently deleted.
  • By us: We may terminate your account for material breach of these Terms, non-payment, or illegal activity. We will provide reasonable notice where practical.

Upon termination, your right to use the service ceases immediately. Sections 7 (Data Ownership), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law) survive termination.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or WhatsApp at least 30 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
